Please read these Terms of Service carefully before using ReportLayer. By creating an account or otherwise accessing the Service, you acknowledge that you have read, understood, and agree to be bound by these terms. If you do not agree, you must not use the Service.
ReportLayer is operated by Keyvity e.U., a company registered in Austria (VAT number ATU79094445), with its registered address at Anton-Mahringer-Weg 35, Villach 9500, Austria. Throughout these Terms, "we," "us," and "our" refer to Keyvity e.U. You may reach us at hello@reportlayer.io.
ReportLayer is a software-as-a-service platform designed for marketing agencies. It connects to third-party data sources including Google Analytics 4, Google Search Console, and Google Ads via OAuth authorization, and uses that data to generate white-labeled reporting pages, schedule automated report emails, and produce PDF exports on behalf of agency users.
We operate the website at https://reportlayer.io and any associated subdomains or applications that reference these Terms (collectively, the "Service").
The Service is intended solely for business use by marketing professionals and agencies. It is not a consumer product, and we make no representations that it is suitable for personal, household, or non-commercial purposes.
You must be at least 18 years old to use the Service. By registering, you represent that you meet this requirement and that you have the legal authority to enter into a binding agreement — either on your own behalf or on behalf of the organization you represent.
The Service is not directed at users in jurisdictions where its use would be unlawful. If you access the Service from outside Austria, you are responsible for ensuring your use complies with any applicable local laws.
To access the Service, you must create an account by providing accurate and complete information. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us immediately at hello@reportlayer.io if you suspect unauthorized access.
We reserve the right to suspend or terminate any account, or to reclaim any username, that we determine — in our sole discretion — to be inappropriate, fraudulent, or in violation of these Terms.
We offer a free plan that allows you to manage up to three client accounts at no cost, with no time limit and no credit card required. Paid subscription plans are available for agencies that need additional clients, team members, or advanced features. Current plan details and pricing are listed on our pricing page.
We accept Visa, Mastercard, and American Express. All charges are denominated in Euros. By subscribing to a paid plan, you authorize us to charge your selected payment method on a recurring basis for the applicable subscription fee. Billing occurs at the start of each billing cycle.
Paid subscriptions renew automatically at the end of each billing period unless cancelled beforehand. You may cancel at any time by logging into your account and following the cancellation steps in your billing settings. Cancellation takes effect at the end of the current paid period — you will retain access until then and will not receive a prorated refund for the remaining time unless required by applicable law.
We may change subscription prices from time to time. We will give you reasonable advance notice of any price increase before it takes effect. Continued use of the Service after a price change constitutes your acceptance of the new pricing.
If you are unsatisfied with the Service, contact us at hello@reportlayer.io and we will review your situation. Refunds are handled on a case-by-case basis and are not guaranteed unless required under applicable consumer protection law.
You may use the Service only for lawful purposes and in accordance with these Terms. The Service is licensed to you for your own internal business use — not for resale, sublicensing, or redistribution to third parties as a competing product.
You agree not to:
We reserve the right to investigate suspected violations and to suspend or terminate access without prior notice if we determine that a violation has occurred.
All content, software, designs, trademarks, and other materials that form part of the Service — including but not limited to the ReportLayer name, logo, and underlying code — are the property of Keyvity e.U. or its licensors and are protected under applicable intellectual property law.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your subscription. This license does not include the right to copy, modify, distribute, or create derivative works from any part of the Service.
Any feedback, suggestions, or ideas you share with us about the Service may be used by us freely and without any obligation to you.
The Service integrates with third-party platforms such as Google Analytics, Google Search Console, and Google Ads. Your use of those platforms is governed by their own terms and privacy policies, which are independent of ours. We are not responsible for the availability, accuracy, or behavior of any third-party service.
The Service may also contain links to external websites. We do not endorse, control, or assume responsibility for any content or practices of those sites. Visiting linked websites is at your own risk.
Our Privacy Policy, available at https://reportlayer.io/privacy, describes how we collect, use, and protect your personal data. By using the Service, you agree to the practices described in that policy, which is incorporated into these Terms by reference.
The Service is hosted on infrastructure located in Germany. If you access the Service from a region with different data protection requirements, your use of the Service constitutes your consent to the transfer and processing of your data in Germany in accordance with our Privacy Policy.
You are responsible for all data you submit to or generate through the Service. While we perform routine backups, we are not liable for any loss or corruption of your data, and we encourage you to maintain your own backups of any critical information.
Where you upload or generate personal data about your own clients within the Service, Keyvity e.U. acts as your data processor under GDPR Art. 28. Our Data Processing Agreement is incorporated into these Terms and applies to all such processing.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or entirely secure. We are not responsible for any inaccuracies in data sourced from third-party platforms such as Google Analytics or Google Ads — the accuracy of that data depends on those platforms and the configurations you have set up within them.
TO THE FULLEST EXTENT PERMITTED BY LAW, KEYVITY E.U. AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU HAVE PAID TO US IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain types of damages. If those rules apply in your jurisdiction, some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless Keyvity e.U. and its officers, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law or third-party right; or (c) any data or content you submit through the Service.
These Terms remain in effect for as long as you use the Service. We may suspend or terminate your access at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and dispute resolution — will continue to apply.
We may update, change, or discontinue any aspect of the Service at any time without liability. We will notify you of material changes to these Terms via email to the address associated with your account. The updated Terms will take effect on the date specified in the notice. Your continued use of the Service after that date constitutes acceptance of the revised Terms.
Before initiating any formal proceeding, both parties agree to attempt to resolve any dispute informally. The party raising the dispute must provide written notice describing the issue, and the parties will have thirty (30) days from that notice to reach a resolution through good-faith negotiation.
If informal resolution is unsuccessful, any dispute arising out of or in connection with these Terms shall be finally resolved by a single arbitrator under the Arbitration and Internal Rules of the European Court of Arbitration (part of the European Centre of Arbitration, Strasbourg). The seat of arbitration shall be Villach, Austria. Proceedings shall be conducted in English, and Austrian law shall apply.
All arbitration shall be conducted on an individual basis. You may not bring or participate in any class action or representative proceeding. Claims relating to the enforcement or validity of intellectual property rights, allegations of unauthorized access or theft, or requests for injunctive relief are not subject to arbitration and may be brought before a competent court.
These Terms are governed by the laws of Austria, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. For matters not subject to arbitration, both parties submit to the non-exclusive jurisdiction of the courts of Carinthia, Austria. If you are a consumer resident in the EU, you also retain the benefit of any mandatory consumer protection provisions of the law of your country of residence.
If you are a California resident and have a complaint that has not been resolved to your satisfaction, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
These Terms, together with our Privacy Policy and any other policies we publish, constitute the entire agreement between you and Keyvity e.U. regarding the Service. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force. Our failure to enforce any right or provision does not constitute a waiver of that right. We may assign our rights and obligations under these Terms without restriction. You may not assign your rights without our prior written consent.
Electronic acceptance of these Terms — by clicking "I agree," creating an account, or continuing to use the Service — has the same legal effect as a handwritten signature.
